Constitution

of the Polish-American Cultural Center

in Honor of John Paul II

(Amended March 18, 2001)

ARTICLE I: NAME

 

The name of the organization shall be the POLISH AMERICAN CULTURAL  CENTER IN HONOR OF JOHN PAUL II, hereafter referred to as  PACCJPII.

 

ARTICLE II: CHARACTER

 

The PACCJPII shall be a non-profit, tax exempt corporation organized  in

 accordance with the laws of State of Ohio and Section 501 (C) (3) and

509 (a)  (2) of the Internal Revenue Code of 1954 (or corresponding provisions

of any  future United States Internal Revenue Law.

 

ARTICLE III:  OBJECTIVES

 

SECTION 1.

    To encourage the participation of Poles and the Americans of Polish

    descent in pursuit of their Polish heritage and culture.

SECTION 2

    To bring about the awareness of the contributions of Poles and Americans

    of Polish descent to the peoples of the United States of America

    and  the world.

SECTION 3

    To pursue charitable, literary, educational and other non-profit purposes

    of Poles and Americans of Polish descent.

ARTICLE IV:  MEMBERSHIP

 

The prospective member must meet at least one of the following  criteria

to eligible for membership:

     a) Be of Polish descent

     b) Be married to a member of PACCJPII

     c) Be a Polish organization represented by two certified delegates

 

ARTICLE V: ELECTED POSITIONS OF THE  PACCJPII

 

SECTION 1

    The Board of Directors-shall consist of: President, two  Vice-Presidents,

    Secretary, Treasurer, Advocate, and (9) nine Directors, or such number

    as shall be provided for in the By-Laws of the PACCJPII.

SECTION 2

    The Audit Committee-shall be composed of at least five (5) members.

SECTION 3

    The Court of Peers-shall be composed of at least five (5)  members.

ARTICLE VI: ELECTED  POSITIONS' TENURE

 

SECTION 1

    The term of office of the officers shall be two (2)  years.

SECTION 2

    The term of office for the Board of Directors shall be three (3) years.

SECTION 3

    The term of office for the members of the Audit Board Committee

    shall be two (2) years.

 

SECTION 4

    The term of office for the members of the Court of Peers shall be

    two (2) years.

 

SECTION 5

    In the event of resignation or disqualification of any officer, a  successor

    shall be appointed by the Board of Directors to serve the remainder

    of the term, as provided for in the By-Laws of PACCJPII. Any new appointments to  the Board of Directors shall have the approval of the

    majority of the voting members present at the meeting.

ARTICLE VII:  MEETINGS

 

SECTION 1

    General Meetings-membership of the PACCJPII shall meet four (4)  times

    per year, or less at the discretion of the Board of Directors, but no less

    than twice (2) per year.

SECTION 2

    Special Meetings-membership of the PACCJPII may be called by the Board

    of Directors as provided by the By-Laws of the PACCJPII.

SECTION 3

    Quorum-attendance of fifty (50) members or more of the voting  members

    shall constitute a quorum at any general membership meeting for which  the members shall be notified in accordance with the By-Laws of the  PACCJPII.

SECTION 4

    Board of Directors Meetings-on any such meeting, attendance of a simple majority of the Board Members shall constitute a quorum, in accordance

    with the By-Laws of the PACCJPII.

ARTICLE VIII: FISCAL  YEAR

 

The Fiscal Year of the PACCJPII shall be from January 1 to December  31 of each calendar year.

 

ARTICLE IX: RULES OF  ORDER

 

Robert's Rules of the newest revision shall be used as a guide to  procedures in

the matters not covered by the Constitution and the By-Laws of the PACCJPII.

 

ARTICLE X: AMENDEMENTS TO THE CONSTITUTION OF THE PACCJPII

 

SECTION 1

    The Articles of the Constitution of the PACCJPII may be amended  by two-thirds (2/3) of the voting members present according to the

    requirements of quorum. The amendments shall become effective

    immediately, unless otherwise  stated, upon compliance with the State

    and Federal Laws.

SECTION 1

    Amendments to the Articles of the Constitution may be introduced

    at any regular membership meeting of the PACCJPII and shall be acted

    at a subsequent meeting of the membership. A copy of the proposed amendment, together  with the recommendation of the Executive Board,

    shall be given to each voting  member.
